Terms of Service

1. Definitions

• "KodexR" / "We" — Kodexr.com, a fully automated SEO platform.
• "Customer" / "You" — The business or individual subscribing to the Service.
• "Service" — SEO analysis, content generation, keyword tracking, technical optimization, and reporting delivered via the KodexR platform.
• "Content" — Articles, reports, analyses, and other material produced by KodexR for the Customer.
• "Platform" — KodexR's software, algorithms, tools, and infrastructure.

2. Service Description

KodexR provides automated SEO for small and medium businesses, including:

• Technical SEO analysis and audit of your website
• Automated generation and publishing of SEO-optimized articles
• Daily keyword tracking and rank monitoring
• Monthly SEO reports via email (and PDF for Growth/Premium plans)
• GEO optimization for visibility in AI search engines

3. No Guarantee of Results

KodexR does not guarantee specific rankings in search engines (Google, Bing) or AI search engines (ChatGPT, Perplexity). Rankings are influenced by many factors outside our control, including:

• Search engine algorithm changes
• Competitor activity
• Your existing website and domain authority
• Changes you make to your own website

We commit to delivering the services described in your selected plan using industry best practices.

4. Pricing & Payment

• Prices for US customers are in USD. Sales tax is calculated via Stripe Tax where applicable.
• Payment is processed monthly via Stripe (card or invoice). Subscriptions renew automatically.
• No long-term contracts — you can cancel at any time.
• No refunds for partial months. Upon cancellation, you retain access through the end of your current billing period.
• Price changes will be communicated at least 30 days in advance via email.

5. Intellectual Property

• Produced Content: All content (articles, reports, analyses) produced for you belongs to you. You have full rights to use, modify, and distribute this content.
• Platform: KodexR's software, algorithms, tools, templates, and infrastructure remain KodexR's property. You receive a limited, non-exclusive license to use the platform during your subscription.

6. Termination

• You may cancel your subscription at any time via the Stripe customer portal or by contacting us.
• Upon cancellation, all published content remains on your website. We do not remove content already delivered to you.
• Keyword tracking and reporting cease at the end of your billing period.
• KodexR may terminate the agreement with 30 days' notice in case of material breach.

7. Limitation of Liability

The Service is provided "as-is". KodexR makes no warranties, express or implied, beyond what is required by applicable law.

• KodexR's total liability is limited to the amount you have paid in the last 3 months.
• KodexR is not liable for indirect damages, lost profits, data loss, or consequential damages.
• KodexR is not liable for downtime, errors, or changes in third-party services (Google, Stripe, hosting providers).

8. Changes to Terms

We may update these terms. Material changes will be communicated at least 30 days in advance via email. Continued use of the Service after changes constitutes acceptance of the updated terms. The current version is always available at kodexr.com/terms.

9. Governing Law

For US customers: These terms are governed by the laws of the State of Delaware, USA. Disputes shall be resolved by binding arbitration under the American Arbitration Association rules.

For Norwegian customers: These terms are governed by Norwegian law. Disputes that cannot be resolved amicably shall be adjudicated by Oslo District Court. See Norwegian version.
